By creating an account or using Vector Panda ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
Vector Panda provides a cloud-hosted vector database API. You can store vector embeddings and associated metadata, search and retrieve vectors by similarity, and access the Service programmatically via API keys.
The Service is offered in beta. By using it you acknowledge and accept the following:
We try our best to operate the Service responsibly and avoid these outcomes, but during beta you accept that they can happen and that we are not liable beyond the limits in Section 12.
You are responsible for maintaining the confidentiality of your account credentials and API keys. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.
Vector Panda offers the following service tiers, billed per GB of stored vectors per month:
Billing is calculated monthly based on the GB-months your vectors occupied at each tier. Pricing is per-GB and dimension-agnostic. By providing a payment method, you authorize Vector Panda to charge for all incurred usage.
Payment processor. Payments are processed by Stripe, Inc. We never see or store your full payment-card number; card details are submitted directly to Stripe and held in their PCI-compliant infrastructure. Your use of the Service's billing flow is also subject to Stripe's terms.
Refunds. Usage already consumed is non-refundable. If you downgrade to a lower-cost tier mid-month, charges for the remainder of the month accrue at the lower rate from the moment of the change forward; we do not credit retroactively. If you believe you were charged in error, contact billing@vectorpanda.com within 30 days of the invoice and we will review.
Failed payments. If a charge fails, Stripe retries automatically per its standard schedule. After seven days of unresolved payment failure your account moves to read-only state; after thirty days we may pause or terminate the account.
Queries across all tenants share a single coordinator queue. Rather than enforcing hard per-second rate limits, the Service uses a fair-queue scheduler: each account receives a round-robin slice of cluster throughput. Under low contention a single active account may consume the full cluster's capacity; under high contention throughput divides fairly across active accounts.
To protect against abuse, the Service enforces a maximum of 100 simultaneously in-flight queries per account. Exceeding this returns HTTP 429. This threshold is set well above any normal interactive workload; sustained queueing at this level may also result in account suspension.
There is no formal Service Level Agreement for free tier accounts. Vector Panda may modify, limit, or discontinue free tier service at any time. Free tier collections that receive no queries for 30 consecutive days may be automatically paused.
You retain full ownership of all vectors, metadata, and other data you store in Vector Panda. You grant Vector Panda a limited license to store, retrieve, and process your data solely to provide the Service. Upon account deletion, we will delete your data within 30 days.
You agree not to use the Service to:
Violation may result in immediate account suspension or termination.
Vector Panda may suspend or terminate your account if we believe you have violated these terms, engaged in illegal activity, or pose a security risk. You may delete your account at any time through the dashboard. Upon termination, your access ceases and your data will be deleted per our retention policy.
The Service is provided on an "as-is" basis. We aim to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance may occur with reasonable notice. We are not responsible for downtime caused by factors outside our control.
To the maximum extent permitted by law, Vector Panda is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, even if advised of the possibility of such damages.
Our total cumulative liability for any and all claims arising from your use of the Service is capped at the total amount you have actually paid to Vector Panda for the Service in the 12 months preceding the claim. For free-tier users who have made no payments, that cap is zero. We do not owe you a minimum recovery floor.
The Service is provided "as-is" and "as-available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, uninterrupted availability, or non-infringement. This disclaimer applies with particular force during the beta period described in Section 3.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Any dispute arising from or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to personal jurisdiction in those courts.
Vector Panda may update these Terms of Service at any time. We will provide notice of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Continued use after changes become effective constitutes acceptance.
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
